Jeffs’ Brands, a Nasdaq-listed e-commerce company, has signed a binding letter of intent (LOI) with Deliverz.AI, a firm specialising in artificial intelligence (AI)-driven robotics.
The agreement sets the foundation for a joint venture (JV) aimed at introducing autonomous robotic solutions to healthcare logistics in the US.
Deliverz.AI is engaged in developing autonomous navigation systems designed to optimise logistics in complex operational environments. Its robotic platform, Polly, operates in both indoor and outdoor environments with high human traffic.
Polly is capable of navigating elevator systems and integrating with RFID-enabled gates, enabling seamless delivery operations. The platform is already in use at Sheba Medical Center in Israel, where it autonomously delivers chemotherapy drugs across hospital facilities.
Deliverz.AI’s technology integrates indoor and outdoor navigation capabilities, enabling its application in various sectors, including healthcare, urban logistics, and industrial operations.
The terms of the LOI specify that Deliverz.AI will license its proprietary robotics technology and software to the proposed JV in exchange for a 50% equity stake. Jeffs’ Brands will contribute $1m for an equal stake, with payments structured in stages.
The JV plans to focus on forming partnerships with US medical centres to deploy robotic systems aimed at improving logistical efficiency in healthcare settings.
Both companies intend to finalise definitive agreements within 30 days. These agreements will include standard closing conditions, regulatory approvals, and the satisfactory completion of due diligence by both parties.
The LOI will terminate if either party finds the due diligence results unsatisfactory.
Jeffs’ Brands stated: “In the event that the results of the due diligence are not satisfactory to one of the parties, the LOI will terminate. There is no guarantee when or if the JV will be completed or if the JV will be successful.”
